1. Introduction

These Terms of Service (“Terms”) govern your use of the UAband website at https://uaband.pro and our digital marketing services. By accessing our website or engaging our services, you agree to these Terms. If you do not agree, please do not use our website or services.

UAband is a digital marketing agency registered in Ukraine, providing Google Ads, Meta Ads, and SMM services to clients worldwide.

2. Services

UAband provides digital marketing services including, but not limited to:

  • Google Ads campaign management and optimization
  • Meta Ads (Facebook & Instagram) advertising
  • Social Media Marketing (SMM)
  • Analytics setup and reporting
  • Digital marketing consulting

The specific scope, deliverables, and terms of each engagement are defined in a separate Service Agreement or proposal signed by both parties.

3. Use of the Website

You agree to use this website only for lawful purposes. You must not:

  • Use the website in any way that violates applicable local, national, or international laws
  • Transmit unsolicited or unauthorized advertising or promotional material
  • Attempt to gain unauthorized access to any part of the website or its related systems
  • Reproduce, duplicate, or resell any part of our website without written permission

4. Intellectual Property

All content on this website — including text, graphics, logos, images, and software — is the property of UAband or its content suppliers and is protected by applicable intellectual property laws.

You may view and print content for personal, non-commercial use only. Any other use requires our prior written consent.

Content and materials created by UAband for clients as part of a service engagement are governed by the terms of the relevant Service Agreement.

5. Client Responsibilities

Clients engaging UAband’s services agree to:

  • Provide accurate and complete information required for service delivery
  • Grant UAband necessary access to advertising accounts, analytics platforms, and other tools required to perform the services
  • Comply with the advertising policies of all relevant platforms (Google, Meta, etc.)
  • Not request or approve content that violates applicable laws or platform policies
  • Make timely payment in accordance with the agreed terms

6. Payment Terms

Payment terms for services are specified in the individual Service Agreement. Unless otherwise agreed:

  • Invoices are due within 5 business days of issuance
  • UAband reserves the right to pause services in case of overdue payments
  • All prices are exclusive of applicable taxes unless stated otherwise

7. Confidentiality

Both parties agree to keep confidential any non-public information received from the other party in connection with the services. This obligation survives the termination of the engagement for a period of 2 years.

8. Disclaimers and Limitation of Liability

UAband provides services on a best-efforts basis. We do not guarantee specific results, including but not limited to revenue growth, lead volume, or return on ad spend (ROAS), as advertising performance depends on many factors beyond our control.

To the fullest extent permitted by applicable law, UAband shall not be liable for:

  • Indirect, incidental, or consequential damages
  • Loss of revenue, profits, or data arising from the use of our services or website
  • Interruptions or errors caused by third-party platforms (Google, Meta, etc.)

Our total liability to any client shall not exceed the fees paid by that client in the 3 months preceding the claim.

9. Third-Party Platforms

Our services involve managing campaigns on third-party platforms (Google Ads, Meta Ads, etc.). UAband is not responsible for changes to platform policies, algorithm updates, or account suspensions made by these platforms. Clients are responsible for ensuring their business and products comply with all applicable platform advertising policies.

10. Termination

Either party may terminate the service engagement in accordance with the terms of the Service Agreement. UAband reserves the right to terminate or suspend website access if a user breaches these Terms.

11. Governing Law

These Terms are governed by the laws of Ukraine. Any disputes arising from these Terms or from the use of our services shall be resolved through good-faith negotiation. If resolution is not reached, disputes shall be submitted to the competent courts of Ukraine.

12. Changes to These Terms

We may update these Terms from time to time. The “Last updated” date at the top of this page will reflect any changes. Continued use of our website or services after changes are posted constitutes acceptance of the revised Terms.
